Legal Terms and Agreement
Learning Producers, Inc.
Effective Date: October 16, 2025
By enrolling, you acknowledge you have read, understood, and agree to be bound by these Legal Terms and Agreement ("Agreement").
This Agreement governs your participation in The Writing Production pilot program, including the "INDEPENDENT" ($200) and "TEAM" ($400) pricing tiers, and applies to all related materials, sessions, and interactions.
1. Service Description
The Writing Production is a limited-duration pilot program utilizing the Combat Writing methodology for professional business writing development. Participation includes:
- Access to Combat Writing [Pilot Edition PDF] 
- Password-protected digital workspace for document sharing 
- Three scheduled production sessions (Launch, Draft Review, Final Reflection), maximum duration of one hour each, conducted via phone or video conference 
- Multi-platform artificial intelligence feedback synthesis utilizing current tools including Claude, Grok, and Learning Producer GPT 
- Optional written summary document (one page) prepared by Learning Producers, Inc. 
This Service constitutes an educational pilot program and does not provide professional accreditation, certification, content creation services, or work-for-hire arrangements.
2. Fees and Payment Structure
Payment is structured to create mutual financial commitment between both parties as follows:
INDEPENDENT Tier: $200 total fee
- Initial payment: $100 (50% of total fee) due upon enrollment 
- Final payment: $100 (50% of total fee) due within seven (7) calendar days following completion of Final Reflection session 
- Performance adjustment: If mutually-defined success criteria (per Section 3) are not achieved, final payment shall be reduced to $50, resulting in total fees paid of $150 
TEAM Tier: $400 total fee (maximum five participants)
- Initial payment: $200 (50% of total fee) due upon enrollment 
- Final payment: $200 (50% of total fee) due within seven (7) calendar days following completion of Final Reflection session 
- Performance adjustment: If mutually-defined success criteria (per Section 3) are not achieved, final payment shall be reduced to $100, resulting in total fees paid of $300 
Payment Terms:
- Initial payments are non-refundable except in cases where Learning Producers, Inc. fails to deliver the Service as specified herein 
- Final payment is contingent upon achievement of success criteria as defined in Section 3 
- Both parties assume financial risk under this structure: Participant assumes upfront payment obligation; Company assumes backend payment risk contingent on performance outcomes 
3. Success Criteria and Performance Measurement
Prior to commencement of the Launch session, Participant and Learning Producers, Inc. shall collaboratively establish specific, measurable success criteria appropriate to the Participant's writing objectives. Success criteria may include, but are not limited to:
- Measurable investor or stakeholder engagement (e.g., meeting requests, follow-up communications) 
- Media coverage or publication metrics 
- Crisis mitigation outcomes (e.g., contained escalation, stakeholder response) 
- Internal organizational alignment (e.g., team adoption, implementation metrics) 
- Other mutually agreed-upon performance indicators 
Evaluation of final payment obligation shall be determined exclusively by whether the predefined success criteria were achieved, not by subjective assessment of process satisfaction.
Failure to reach mutual agreement on success criteria may result in incomplete Service delivery or release from final payment obligations for either party.
4. Performance Adjustment Claim Process
To claim the final payment performance adjustment described in Section 2:
- Participant must provide written notice within seven (7) calendar days following completion of Final Reflection session 
- Written notice must include specific reference to the success criteria established during Launch session and explanation of non-achievement 
- Learning Producers, Inc. reserves the right to request clarification regarding the claim 
- The performance adjustment mechanism exists to uphold mutual accountability, not to provide refunds based on preference or disengagement. 
- Learning Producers, Inc. shall honor good-faith assessments of success criteria achievement 
5. Program Timeline and Session Protocols
Timeline Requirements:
- All three required sessions must be completed within sixty (60) calendar days of initial payment date 
- Sessions may be rescheduled with minimum twenty-four (24) hours advance notice 
- Failure to appear for scheduled sessions or failure to respond to scheduled communications results in forfeiture of that session 
- “Final Reflection” is the third and final required session 
- If Learning Producers, Inc. cancels a scheduled session, rescheduling shall occur at mutually convenient time 
Between-Session Communication:
- Optional weekly check-in calls of approximately fifteen (15) minutes duration are available to monitor progress and address questions 
- Asynchronous communication is available via the password-protected digital workspace for feedback submission and question resolution 
- Between-session communication does not substitute for the three required formal sessions

6. Participant Eligibility and Requirements
Eligible Participants include individual professionals (INDEPENDENT tier) or business teams of up to five (5) individuals (TEAM tier).
Artificial Intelligence Integration: The Service employs multiple artificial intelligence platforms to analyze participant drafts during Draft Review and Final Reflection sessions. Current platforms include Claude, Grok, and Learning Producer GPT; additional platforms may be incorporated as technology evolves. Participants are not required to independently utilize artificial intelligence tools but must authorize Learning Producers, Inc. to process submitted drafts through multiple AI platforms for multi-perspective analytical feedback.
Collaborative Framework: Participants agree to engage in structured professional critique and provide/receive direct substantive feedback. Shared content within pilot cohorts is visible to all cohort participants. Participants should only submit materials they are prepared to share within the cohort environment for analytical review.
7. Artificial Intelligence Usage Terms
Participant Usage (Optional): Participants may utilize artificial intelligence tools in their independent writing process at their discretion. Draft development methodology is at Participant's sole discretion.
Company Usage (Required): To implement the Combat Writing methodology, Participants must authorize Learning Producers, Inc. to process submitted drafts through multiple artificial intelligence platforms during Draft Review and Final Reflection sessions. Current platforms include Claude, Grok, and Learning Producer GPT; additional platforms may be incorporated as technology advances. Multi-platform analysis is integral to the methodology's design for identifying non-obvious insights and analytical blind spots.
Learning Producers, Inc. provides strategic orchestration and synthesis of artificial intelligence feedback but does not guarantee specific outcomes from any artificial intelligence platform.
Participant Acknowledgments: By authorizing draft analysis through artificial intelligence platforms, Participant acknowledges:
- Submitted content will be processed by third-party artificial intelligence platforms 
- Participant is responsible for ensuring appropriate rights to all submitted content 
- Participant accepts the privacy policies and terms of service of the artificial intelligence platforms employed 
Company Disclaimers: Learning Producers, Inc. is not responsible for third-party artificial intelligence platform data handling practices, platform behavior, or platform-generated outputs. Participants utilize these platforms at their own risk.
8. Professional Conduct Standards
Participants agree to:
- Maintain professional respect toward all program collaborators 
- Engage constructively in analytical review processes 
- Acknowledge that direct critique and analytical tension are integral methodological components 
Verbal threats, harassment, or violent behavior will result in immediate termination of participation without refund of any payments made.
9. Intellectual Property Rights
Participant Content: All original written content created by Participants during the Service remains the exclusive intellectual property of the Participant.
Company Materials: Combat Writing Playbook [Pilot Edition], methodological frameworks, and all Company-created materials are proprietary intellectual property of Learning Producers, Inc. Participants receive a limited, non-transferable license for personal or internal business use within the scope of this Service only. Redistribution, resale, or commercial exploitation of Company materials is prohibited without express written authorization.
Learning Producers, Inc. does not provide work-for-hire content creation services.
10. Privacy and Confidentiality
Content shared within cohort groups (including works-in-progress and analytical feedback) is accessible to all Participants within that cohort and is intended for collaborative analytical review.
Personal identifying information outside of cohort-shared content is protected in accordance with Company privacy policies.
Learning Producers, Inc. is not responsible for data handling practices of third-party artificial intelligence platforms.
11. Post-Program Review
Within two to three weeks following pilot program completion, Learning Producers, Inc. will conduct a debriefing session with Participant to:
- Evaluate program performance relative to established success criteria 
- Document insights and identify potential improvements 
- Discuss opportunities for continued professional collaboration 
12. Limitation of Liability
To the maximum extent permitted by applicable law, Learning Producers, Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to the Service, including but not limited to:
- Business writing project outcomes or results 
- Professional or business consequences of Participant decisions 
- Third-party interactions or artificial intelligence platform behaviors 
- Emotional distress arising from participation (except in cases of willful misconduct by Learning Producers, Inc.) 
Participation is voluntary. This constitutes a professional development program involving analytical critique and high-stakes professional reflection where professional discomfort may occur as part of the methodological design.
13. Termination and Refund Policy
Company Termination Rights: Learning Producers, Inc. may terminate Participant involvement for conduct violations or non-compliance with program requirements (including failure to establish success criteria as specified in Section 3). Termination results in no refund beyond initial payment already remitted.
Refund Conditions: Refunds shall be issued only when Learning Producers, Inc. fails to deliver the Service as specified in this Agreement. Final payment performance adjustments are governed by Section 4 provisions and are contingent upon success criteria achievement.
Participant Feedback: Participants may voluntarily provide program feedback to inform future program iterations and materials development (e.g., Playbook version updates).
14. Modification of Agreement Terms
Learning Producers, Inc. reserves the right to modify this Agreement at any time. Updated terms will be published at learningproducers.com/terms-of-service-twe-pilot. Continued Participation following modification publication constitutes acceptance of modified terms.
15. Governing Law and Severability
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflicts of law principles. Any disputes arising from this Agreement shall be resolved in the appropriate courts of the State of Illinois.
Severability: If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Any invalid provision shall be reformed or replaced to reflect the original intent to the maximum extent permitted by law.
16. Acknowledgment and Acceptance
By enrolling and remitting initial payment, Participant confirms:
- Participant has read and understands all terms contained in this Agreement 
- Participant agrees to the payment structure with contingent final payment based on mutually-defined success criteria 
- Participant is prepared to engage in structured analytical critique utilizing the Combat Writing methodology 
- Participant accepts all risks and responsibilities outlined herein 
- Participant has reviewed and agrees to the complete Terms of Service available at learningproducers.com
